By giving my billing information I authorize Loyalty Lock to bill my credit card or directly debit my checking/savings account listed for all monthly fees related to the Loyalty Lock Program including but not limited to, monthly program, replacement cards and supplies, gateway fees and optional direct mail program. I will notify Loyalty Lock of any change in my billing information. I understand and agree that Loyalty Lock will invoice all charges per the terms and conditions of this agreement. I further understand that Loyalty Lock will asses a $25 fee each time the bank issuing my credit card or checking/savings account dishonors a charge. Merchant will be billed for cards and enrollment forms if they terminate program within 90 days of launch. (Any merchant who will not enroll as many guests as possible should not join the program). In the event of non-payment Loyalty Lock will provide a 10 day grace period prior to suspension of service. I agree that Loyalty Lock may communicate to me about the Loyalty Lock Program via mail, phone, fax or email. I agree to provide a minimum thirty (30) day notice if I should decide to cancel my Loyalty Lock Program and I will be billed for 30 days after my formal cancellation notice.
MULTI-UNIT: Multi-Unit Pooling: $100 Matrix initial setup charge, $25 per location report setup and configuration $0.75 settlement (per settling location per settlement). Multi-Unit merchants may and will overlap competitor trade areas from time to time. When this happens, email graphics will be modified or rebranded at the discretion of Loyalty Lock so as not to duplicate existing Loyalty Lock merchant’s e-marketing campaign. Likewise, any single unit Loyalty Lock merchant is grandfathered into the program and may deploy the program at future locations with the same re-branding or graphics changes as deemed necessary by Loyalty Lock.
TERM: The term of this agreement shall begin upon delivery of the loyalty starter kit and activation of the program, and shall continue until written notification from the merchant of 30 day intent to cancel.
CONFIDENTIALITY: Both parties agree that all information exchanged must be regarded as confidential and proprietary.
CANCELLATION: Either party may cancel this agreement with 30 days written notice. Cancellation during first 60 days will result in a $175 set-up charge.
GUARANTEE: Loyalty Lock guarantees to measurably increase sales if merchant enrolls guests in the program. If merchant enrolls 200 guests in the program in the first 60 days Loyalty Lock will extend merchant a 90 day money back guarantee (monthly fee only).
LIABILITY: Loyalty Lock shall not be liable to client for any lost profits, lost revenues or opportunities, downtime, or any consequential damages or costs, resulting from any claim or cause of action based on breach of warranty, breach of contract, negligence, or any other legal theory, even if Loyalty Lock knew or should have known of the possibility thereof. In no event shall Loyalty Locks aggregate liability exceed the amounts actually paid by client in the 12 month period immediately preceding the event giving rise to the claim.
CUSTOMER INFORMATION: Loyalty lock recommends merchants maintain a copy of enrollment forms because loyalty lock is prohibited from releasing email information once obtained because of white listing regulations. Customer data collected by Loyalty Lock shall remain the property of the merchant. Loyalty Lock during the term of this agreement, will not sell, rent, share or use customer information for any reason other than for purposes of your Loyalty Marketing Program. Customer data and information collected from the merchant and merchant’s customers are the property of Loyalty Lock and may be used by Loyalty Lock for sales, marketing research and case study purposes. Disclaimer: Loyalty Lock makes no warranties of any kind (either expressed or implied) concerning the materials on the site. Further, Loyalty Lock does not warrant that transmission of the materials will not be interrupted nor does it
warrant that the materials will contain no errors. Loyalty Lock does not warrant that the site itself or the server which transmits it will be free of viruses or anything else that might be harmful, nor do we warrant that any defects will be corrected. You alone assume all risk associated with use of the site, including the full cost of any necessary repair or service to your computer.
NOTICES: All notices required or permitted in this agreement shall be in writing and sent to merchant and Loyalty Lock at the addresses stated in this agreement or to the addresses as either party may from time to time advise in writing. This agreement, together with any attachments hereto, represents the only agreements between the parties concerning the subject matter hereof and supersedes all prior representations, understandings, and agreements, whether written or oral. Loyalty Lock may alter, amend, or modify the agreement as needed by with notice to merchant.
